About the role

Key responsibilities & impact

Own procurement and commercial contract reviews, including data rights, retention, and use of data to train AI models
Assess fact-specific fund and investment matters, including fee disputes, carry transfers, distribution or secondary-related issues, side letters, and other non-standard fund operation issues
Develop clear positions on legal risk
Research and advise on questions under the Securities Act, Investment Company Act, Investment Advisers Act, and related rules
Use AI-assisted research and drafting workflows while reviewing and verifying outputs
Identify recurring patterns and create reusable guidance, templates, and AI-assisted workflows
Support bespoke fund structures and strategic customer arrangements
Work cross-functionally with Product, Engineering, Fund Operations, Finance, Tax, Compliance, and Customer Success
Improve systems and processes that generate recurring legal matters

Requirements

What you’ll need

Corporate transactional capability, including ownership of commercial contract reviews and ordinary-course corporate matters
Comfortable using AI tools, checking their output, and distinguishing automatable work from decisions requiring a lawyer
Ability to handle ambiguity and reactive, time-sensitive work with incomplete facts or no existing playbook
Ability to make judgment calls and know when to escalate
Practical, cross-functional approach balancing legal risk and business realities
Comfort working with fund governing documents, investor arrangements, and securities and investment-management concepts, or ability to develop this fluency quickly
Appetite for hands-on execution involving recurring corporate work and time-sensitive legal matters
