About the role
Key responsibilities & impact- Provide legal support to the Private Bank, Merrill, and Consumer Investments businesses
- Advise on client account opening and servicing, pre-litigation matters and complaints, account-holder disputes, at-risk person investigations, trust modifications, estate settlements, and other legal issues
- Deliver practical legal guidance to business partners
- Support strategic initiatives and projects
- Identify and address legal risks
- Help ensure compliance with applicable laws, regulations, and company policies
- Analyze legal issues involving consumer banking and wealth management products, services, and regulatory matters
- Communicate clear, concise, actionable, and business-informed legal advice, including to leadership
- Interpret rulings, laws, and regulations from compliance and business-control perspectives
- Draft, review, and negotiate complex legal documents, including engagement letters, debt agreements, offering documents, and legal opinions
- Gather, assess, and evaluate information to make judgments or inferences
- Support responses to government examinations and investigations, enforcement actions, private complaints, and litigation
- Review and interpret wills, trust agreements, powers of attorney, and legal entity documents under state law
- Advise on investment products in Private Bank fiduciary and Merrill brokerage accounts
- Resolve complaints and pre-litigation conflicts while liaising with regulatory, litigation, and internal investigation legal teams
Requirements
What you’ll need- Licensed in good standing to practice law in at least one state in which Bank of America does business
- At least 5 years of relevant experience as an attorney in a law firm, government agency, or in-house environment
- Excellent written and verbal communication and interpersonal skills
- Executive presence when dealing with high-level business leaders
- Ability to offer advice and opinions and debate issues with senior business, compliance, and risk colleagues
- Excellent issue spotting, risk assessment, research, and problem-solving/analytical skills
- Ability to identify key issues and escalate to management and business leaders
- Ability to prioritize and manage a large amount of matters
- Flexibility in a fast-paced environment with changing conditions or priorities
- Ability to work closely with lawyers, business partners, compliance, and risk professionals
- Initiative and strong work ethic; ability to work independently
- Minimum Education Requirement: Doctorate degree in related field
- Experience with trust, estate, charitable foundation, and related fiduciary issues is desired
- Experience with broker-dealer laws, SEC, FINRA, state laws related to powers of attorney, trusts and estates, and litigation or regulatory matters is desired
- International legal experience is a plus
