About the role

Key responsibilities & impact
  • Provide legal counsel and support to Bank of America’s Global Corporate and Investment Banking Enterprise Credit and Corporate Banking business on syndicated loan matters
  • Review and negotiate commitment letters, term sheets, fee letters and syndicated loan agreements
  • Prepare and review parent guaranties for subsidiary obligations
  • Communicate clear, concise, actionable and business-informed legal advice to internal partners, Enterprise Credit officers and corporate bankers
  • Analyze legal issues and implications related to products, services and regulatory matters
  • Interpret rulings, laws and regulations from compliance and business-control perspectives
  • Draft, review and negotiate complex legal documents, including cross-border transactions and legal opinions
  • Support responses to government examinations, investigations, enforcement actions, complaints and litigation
  • Direct and supervise outside legal counsel
  • Coordinate Legal staff and train, mentor or support peer development
  • Collaborate with Compliance, Risk, Legal and business stakeholders to identify and mitigate legal and regulatory risks

Requirements

What you’ll need
  • 5+ years of law firm or internal counsel experience related to syndicated loan transactions
  • Strong organizational, drafting and negotiation skills
  • Ability to communicate clearly verbally and in writing at all organizational levels
  • Strong work ethic and self-initiative
  • Ability to manage a high volume of work in a fast-paced and changing environment
  • Strong interpersonal and teamwork skills
  • Ability to balance risk and reward and act as a strategic partner
  • Active U.S. bar membership in good standing
  • Meaningful experience related to oil and gas loans (desired)
  • Knowledge of sustainable and green loans (desired)
  • Ability and willingness to develop and propose constructive solutions (desired)
  • Doctorate degree in related field
