About the role
Key responsibilities & impact- Provide legal counsel and manage corporate governance activities supporting the boards of Bank of America Corporation, its wholly owned nationally chartered bank subsidiaries, and other U.S. subsidiaries
- Advise on corporate governance matters
- Support board and committee processes
- Provide legal guidance related to the responsibilities of the U.S. Office of the Corporate Secretary
- Partner with the Operations and Technology Enablement team
- Manage matters within the Office of the Corporate Secretary's remit
- Support effective execution of governance and operational activities
- Analyze legal issues and implications related to corporate functions
- Communicate clear, concise, actionable, and business-informed legal advice, including occasionally to leadership
- Interpret rulings, laws, and regulations
- Draft, review, and/or negotiate complex legal documents, including regulatory filings, engagement letters, offering documents, and legal opinions
- Gather, assess, and evaluate information from various sources to make judgments or inferences
Requirements
What you’ll need- 10+ years of experience as an attorney with corporate, securities, and public company corporate governance-related experience
- Active license to practice law in at least one state or the District of Columbia
- Understanding of U.S. public company corporate governance rules, regulations, best practices, subsidiary governance matters, and Delaware corporate law
- Experience advising financial institutions or other complex international corporations on corporate governance matters
- Experience advising boards of directors, board committees, and senior management on governance-related matters
- Demonstrated ability to operate independently and exercise sound judgment on complex and time-sensitive matters
- Strong oral, written, and drafting skills
- Experience leading and participating in cross-functional teams
- Strong business and legal judgment with the highest standards of integrity
- Ability to navigate a complex, evolving financial services environment
- Doctorate degree in related field
- 40 hours per week
- 1st shift (United States of America)
