About the role

Key responsibilities & impact
  • Draft, negotiate, implement, and manage the lifecycle of commercial agreements supporting EPR programs
  • Support and scale a high-volume contracting environment
  • Lead contract intake, drafting, negotiation, execution, amendment, and termination
  • Develop and improve contract templates, fallback positions, and playbooks
  • Identify and mitigate commercial risks, including indemnity, liability caps, data rights, termination rights, and regulatory obligations
  • Implement and support the contract lifecycle management system, including workflows, processes, metadata, and reporting
  • Track and report contract metrics such as cycle time, volume, and risk trends
  • Advise business teams on contract strategy, risk allocation, and negotiation positions
  • Own contract compliance, governance, recordkeeping, and audit readiness
  • Provide legal analysis on regulatory requirements affecting contract terms and program implementation
  • Draft legal memoranda and summaries for internal decision-making
  • Assist with compliance with applicable law, regulations, and contract commitments
  • Report to the General Counsel

Requirements

What you’ll need
  • Juris Doctor (J.D.) from an accredited U.S. law school
  • Active bar membership in good standing in at least one U.S. state
  • 5+ years of experience with a primary focus on commercial contract drafting and negotiation
  • Strong legal research, writing, and analytical skills
  • Excellent organizational skills and ability to manage multiple deadlines in a fast-paced, evolving environment
  • Demonstrated experience negotiating complex commercial agreements
  • Experience with CLM systems is strongly preferred, ideally Ironclad
  • Experience structuring and negotiating complex commercial transactions
  • Strong commercial judgment and risk assessment
  • Advanced contract negotiation skills
  • Experience managing high-volume contract workflows
  • Hands-on experience with CLM tools and contract process optimization
  • Detail-oriented drafting and issue spotting within complex agreements
  • Ability to translate legal concepts to non-legal stakeholders
  • Comfort working in a lean, entrepreneurial, and mission-driven organization
  • Team-oriented, adaptable, and proactive
