About the role

Key responsibilities & impact
  • Interpret and apply U.S. federal income tax law to M&A transactions
  • Partner with senior M&A practice members on technical tax issues involving consolidated returns, partnerships, S-Corporations, LLCs, and LLPs
  • Conduct tax research on technical transaction tax issues
  • Write technical memoranda and advise clients
  • Identify target-company tax risks during tax due diligence and communicate findings
  • Review Excel-based transaction tax models to quantify attribute availability, basis step-up, and structural impacts
  • Manage project workflow, budgets, collections, and billing
  • Provide transaction-structuring advice for sell-side and buy-side transactions
  • Develop, motivate, and train staff and manager-level team members

Requirements

What you’ll need
  • 8+ years of federal tax and/or mergers and acquisitions experience
  • Bachelor’s degree in accounting
  • Knowledge of U.S. federal tax laws, including corporate, individual, gifts, trusts, and partnership taxation
  • Proficiency in Microsoft Office, particularly Excel
  • Excellent written and verbal communication skills
  • Outstanding analytical, organizational, and project management skills
  • Ability to work cooperatively in teams
  • Highly motivated
  • Master’s degree in taxation, JD, and/or LLM preferred
  • CPA license preferred
