About the role
Key responsibilities & impact- Practice as an attorney and address legal matters within the Legal Department’s Corporate and Securities practice group
- Assist the Corporate Secretary with Corporate Secretary duties
- Provide legal support for financial reporting, corporate financings, investor relations and public disclosure matters
- Manage equity administration and corporate governance matters
- Provide legal support for general corporate matters
- Advise employees, make recommendations and advocate for the company on routine to moderately complex issues
- Resolve difficult, complex or unusual matters through consultation with senior attorneys
- Contribute to SEC filings, including Forms 10-K, 10-Q, 8-K and S-3, FERC financial reports and bondholder statements
- Support debt and equity financing transactions and compliance obligations from finance document covenants and commitments
- Support public disclosure matters, including quarterly earnings release activities
- Monitor securities laws and regulations and advise the supervisor on their impact
- Support corporate development of transmission projects, asset acquisitions and sales, and potential merger and acquisition activity
- Participate in agreement negotiations, due diligence, closing activities and establishment of corporate entities
- Counsel, assist and prepare corporate policies and procedures
- Analyze statutes, regulations, orders, case law, precedent and rules; conduct legal research and analysis
- Counsel employees through verbal and written communications
- Oversee outside counsel and other vendors retained for Legal Department matters
Requirements
What you’ll need- Juris Doctor from an American Bar Association accredited law school or relevant, equivalent experience and/or education
- Licensed to practice law
- Minimum of two (2) years of experience as a practicing attorney
- Experience with public company financial reporting preferred
- Experience with corporate and financing transactions preferred
- Ability to work independently in area of responsibility and manage projects
- Ability to effectively conduct research of legal precedent and other information related to performance of job duties
- Sound analytical, problem-solving and documentation skills
- Effective verbal and written communication skills
- Ability to work under minimal supervision
- Ability to work in a team environment
- Ability to handle multiple projects with conflicting priorities
- Effective use of Microsoft Word and email applications
- Authorized to work in the United States for any employer
