About the role
Key responsibilities & impact- Draft, prepare and review IT and non-IT contract documents
- Negotiate legal and business terms to mitigate risk and maximize enterprise value
- Analyze contract requirements, provisions, terms and conditions for legal, regulatory, policy and business compliance
- Lead or represent Enterprise Procurement on enterprise-wide strategic initiatives and savings initiatives
- Communicate and enforce CVS policies and regulatory requirements internally and externally
- Support supplier diversity and supplier integration efforts related to mergers and acquisitions
- Perform special projects with direct line of sight to senior leadership
- Lead larger projects and manage groups of Contract Analysts
- Communicate contract terms and conditions to internal and external stakeholders
- Draft and negotiate scopes of work, service level agreements, financial incentives and turnaround times
- Collaborate with Legal, Sourcing, Information Security, Risk Management, Privacy, Tax, Finance and other subject matter experts
- Support RFP development and address participants' legal counsel questions during negotiations
- Serve as key contact among Legal, Finance, Senior Leadership, business teams and vendors for escalated contract issues and disputes
- Mentor and guide staff through appraisal, development planning, coaching and mentoring
- Maintain and update the Enterprise Procurement Process Manual and templates
- Identify contractual risks for escalation to Senior Leadership
- Lead contract-language discussions and finalize updated contract templates
- Present webinars and roundtable discussions to promote compliance with purchasing and contracts policies
- Present complex deal concepts and non-standard provisions to Senior Leadership
- Manage high-visibility, high-priority contracts and projects with minimal oversight
- Work independently and collaboratively to craft contractual terms protecting CVS and supporting business relationships
Requirements
What you’ll need- 5+ years of related contract negotiations experience
- 5+ years reviewing, editing and drafting contractual terms and conditions
- 5+ years professional experience with Microsoft Office
- Ability to prioritize multiple tasks and high volume of contractual negotiations simultaneously
- Experience advising senior leadership in a corporate environment
- Experience as a recurring user of Ariba Contract Management platform or similar tool is highly preferred
- Certified Commercial Contracts Manager (CCCM) is a plus
- Experience negotiating non-merchandise/indirect commodity purchases of goods and/or services deals/contracts is preferred
- Verifiable Bachelor's degree from an accredited four-year college or university; equivalent years of work experience may substitute
- Master's degree and/or JD are highly desired
- Proficiency with Microsoft Office, Word, Excel, PowerPoint, and SAP/Ariba Contract Management
- Ability to work onsite Tuesdays and Wednesdays each week under the hybrid work model
