About the role
Key responsibilities & impact- Support board and committee governance for Enva Group companies
- Prepare, collate and distribute board and committee packs
- Draft and maintain agendas, action logs and annual governance calendars
- Take minutes of board and committee meetings
- Liaise with external company secretarial providers to maintain statutory registers and company records
- Ensure timely filings with the Companies Registration Office (CRO) and Companies House
- Support corporate governance policies and procedures
- Prepare and coordinate written resolutions, share transfers, director appointments/resignations and powers of attorney
- Assist with group restructurings, acquisitions and disposals, including KYC information collection and due diligence
- Liaise with external company secretarial providers and law firms
- Provide paralegal support, including initial review of NDAs and standard-form contracts
- Coordinate contract approvals and signatures
- Maintain contract registers and support contract management processes and tools
- Assist with drafting and updating templates, playbooks and guidance notes
- Monitor legal and regulatory obligations and deadlines
- Support compliance policies, procedures and training, including data protection, anti-bribery and competition law
- Gather information and documentation for regulatory enquiries, audits and investigations
- Provide administrative and organisational support to the Group Head of Legal and wider legal team
- Improve legal and governance processes, systems and ways of working
Requirements
What you’ll need- Experience in a company secretarial, paralegal or legal executive role, ideally within a corporate or in-house environment
- Strong understanding of company secretarial practice and corporate governance requirements for Irish companies
- Ideally, familiarity with UK company secretarial requirements
- Experience preparing board/committee packs, taking minutes and maintaining statutory records and company registers
- Excellent organisational skills, with the ability to manage multiple tasks, deadlines and stakeholders
- Strong written and verbal communication skills, with high attention to detail and accuracy
- Confident user of SharePoint and comfortable working with document management
- Ability to work collaboratively with colleagues at all levels and build strong working relationships
- ICSA/CGI qualification or equivalent company secretarial qualification is desirable, or working towards it
- Prior experience supporting corporate transactions such as M&A and restructurings is desirable
- Experience in an in-house legal team supporting governance and commercial legal work is desirable
- High levels of integrity and professional ethics
