About the role
Key responsibilities & impact- Assist the Assistant Corporate Secretary and Corporate Secretary with preparation, distribution, and retention of board and committee meeting materials
- Draft agendas, resolutions, minutes, and supporting documents
- Manage board and committee calendars, director onboarding and continuing education, and director biographical information
- Support board evaluations and director and officer questionnaires
- Maintain governance policies, charters, and board and committee records
- Assist with preparation and filing of SEC reports, including Forms 8-K, 10-K, 10-Q, and proxy statements
- Oversee Section 16 matters, including preparation and timely filing of Forms 3, 4, and 5
- Monitor corporate governance, SEC, and Nasdaq requirements
- Support subsidiary governance matters, corporate records, minute books, stock registers, officer and director listings, and entity databases
- Support administration of EXL equity programs with Fidelity and international equity plans
- Approve settlements and distributions of director awards
- Assist with insider trading policy administration, trading window logistics, and 10b5-1 plans
- Maintain equity trackers, securities playbooks, process documents, and databases
- Support employee equity plans, including ESPP, international plans, grant approvals, RSU releases, and audits
- Assist with RSU agreement forms
- Oversee corporate insurance administration and liaise with the insurance broker
- Provide certificates of insurance, assist with insurance-related contract negotiations, and lead renewals
- Support litigation, investigations, and disputes, including legal holds, discovery, document production, research, filings, case management, and coordination with counsel and vendors
- Assist with Legal team corporate projects, presentations, research, and drafting on governance trends and best practices
- Build positive relationships with internal clients and external service providers
Requirements
What you’ll need- At least 5 years of corporate legal/paralegal experience, ideally in a public company
- Experience supporting a corporate secretary team and working with a board of directors
- Familiarity with SEC and Section 16 reporting rules
- Excellent organizational skills and ability to manage multiple priorities in a fast-paced environment
- Ability to work independently, take on extra responsibility, act as a leader, and collaborate effectively
- Exceptional attention to detail, discretion, and judgment handling sensitive matters
- Strong written and verbal communication, including drafting skills
- Experience interacting with senior stakeholders, including the General Counsel, legal team, internal clients, external counsel, and insurance brokers
- B.A.
- Excellent skills with Microsoft Word, Excel, and PowerPoint
- Ability to use contract lifecycle tools and legal automation applications
- Familiarity with BoardVantage, Nasdaq, Fidelity, and C T Corp. (HCue) platforms is ideal
- Paralegal certificate is preferred
