About the role
Key responsibilities & impact- Draft, review, and negotiate commitment letters, term sheets, primary loan and security documentation, and ancillary deliverables
- Prepare and review issues lists and summary grids
- Conduct legal research according to client needs
- Manage deal teams and processes from initial discussions through closing and post-closing matters
- Manage and conduct due diligence
- Serve as primary point of contact for clients, opposing counsel, and other transactional legal teams
- Assist clients with ongoing deal administration, including joinders, amendments, interpretive questions, and collateral matters
- Provide direct assistance to senior lawyers on day-to-day legal services
- Attend and present educational seminars
- Exercise good judgment in internal and external written and verbal communications
- Mentor and train junior team members
- Attend and participate in continuing education classes and client development initiatives
- Work with finance partners and teams in other offices on multi-jurisdictional transactions
Requirements
What you’ll need- At least four years of debt finance experience
- Preferred experience in sponsored finance, syndicated lending, acquisition/leveraged finance, direct lending, and/or private credit transactions
- Strong academic record and intellectual curiosity
- Project management experience
- Commercial and business acumen
- Outstanding communication skills
- Strong time management skills and ability to manage multiple projects and teams under pressure
- Excellent drafting skills
- Client service focus
- Strong judgment
- Proactive, resourceful, takes initiative, and a self-starter
- Fluency in English required
- Admitted to the bar and in good standing
