About the role

Key responsibilities & impact
  • Advise H&R Block, Inc. and its subsidiaries on complex legal issues
  • Coordinate with internal clients and internal and external attorneys
  • Lead internal legal strategy for the Acquisitions & Development program
  • Direct transaction legal due diligence
  • Advise internal operations teams on legal and business issues arising during transactions
  • Draft and negotiate purchase agreements and related transaction documents
  • Shape post-closing integration activities and pre-litigation dispute resolution
  • Provide legal advice to senior officers and the board of directors on mergers and acquisitions, strategic initiatives, and corporate transactions
  • Advise the finance department on legal and corporate governance aspects of corporate tax-related activities
  • Serve as a subject matter expert on domestic and international governance structures, financing activities, and strategic initiatives
  • Advise on sustainability and corporate responsibility reporting frameworks and standards
  • Partner with Investor Relations and Accounting teams to identify sustainability-related risks and opportunities
  • Enable reporting in Corporate Social Responsibility Reports, proxy statements, and other filings
  • Advise on periodic SEC reports and public financing-related matters
  • Manage outside counsel on strategic transactions
  • Adapt to evolving business, regulatory, and strategic priorities

Requirements

What you’ll need
  • Juris Doctorate degree
  • License to practice law in one or more states
  • Current member of the Missouri Bar or ability to become a member of the Missouri Bar within six months
  • At least five years of legal experience at a law firm, corporate legal department, or similar
  • Demonstrated analytical and problem-solving skills
  • Ability to plan and coordinate multiple projects and work initiatives simultaneously
  • Effective oral, written, and interpersonal communication skills
  • Strong presentation skills
  • Effective negotiation skills, executive presence, sound judgment, and collaborative influence
  • Ability to build strong, collaborative relationships with clients, peers, and external partners
  • Ability to navigate ambiguity and assess legal and business risk effectively
  • Demonstrated creativity in resolution of complex disputes
  • Strong business acumen
  • Eagerness to partner with internal business colleagues to solve business issues
  • Ability to responsibly leverage AI and digital tools
  • Demonstrated accountability and a collegial, collaborative approach
  • Significant experience with complex mergers, divestitures, acquisitions, and other corporate transactions involving sophisticated counterparties (preferred)
  • Significant experience advising on legal and organizational enterprise structure involving domestic and international subsidiaries (preferred)
  • Significant experience working with senior executives and subsidiary or parent-company boards of directors (preferred)
  • Experience with corporate sustainability reporting, including the EU’s Corporate Sustainability Reporting Directive (CSRD) (preferred)
  • Experience with AI-powered tools and practices (preferred)
