About the role
Key responsibilities & impact- Execute complex M&A and other strategic transactions
- Conduct due diligence
- Structure deals and term sheets
- Draft and review definitive agreements
- Negotiate key legal and business terms
- Manage signing, closing, and post-closing integration
- Oversee outside counsel
- Design, implement, and continuously improve scalable legal processes, templates, and playbooks
- Drive efficiency, consistency, and best practices across M&A and strategic transactions
- Partner with Corp Dev, Finance, People, Product, and Operations
- Support adjacent corporate matters including entity management, employment and compensation, real estate, and insurance
- Build Harvey’s M&A playbook and design scalable, AI-forward legal processes
- Support Harvey’s acquisition strategy
Requirements
What you’ll need- JD degree
- Licensed to practice in California or New York in good standing
- 4–6+ years of relevant legal experience in M&A transactions
- At least 4 years in the M&A group of a top-tier law firm
- Preferably a 5th-year+ associate
- Buy-side experience representing fast-growing technology companies preferred
- Ability to flex across adjacent corporate matters
- Ability to manage competing priorities and think creatively and strategically under tight timelines
- Team-focused and collaborative working style
- Strong sense of ownership and comfort operating independently
- Exceptional communication skills and intellectual curiosity
- Ability to drive stakeholder alignment, exercise sound judgment, and provide solutions-oriented legal advice
- Able to work from the San Francisco office 3 days per week as part of the hybrid work model
