About the role
Key responsibilities & impact- Serve as the Institute’s internal legal point of contact
- Support business areas in analyzing and preventing legal risks
- Manage external law firms and monitor deadlines, matters, deliverables, and service levels
- Provide legal support to General Meetings and Board and Executive Committee meetings
- Analyze legal and statutory requirements for the convening, installation, and deliberation of meetings
- Support the preparation of agendas, minutes, resolutions, and governance documents
- Monitor the formalization and registration of resolutions adopted by governance bodies
- Monitor and formalize processes involving the election, appointment, inauguration, composition, and departure of board members
- Support processes related to members and institutional representatives
- Prepare and monitor volunteer agreements and documentation
- Consolidate legal reports and relevant information for management
- Monitor judicial and administrative proceedings, contingencies, and recommendations from external law firms
- Provide legal guidance to internal areas on contractual, civil, labor, regulatory, institutional, and data protection matters
- Draft, review, and support the negotiation of contracts, agreements, policies, regulations, and other legal documents
- Identify legal risks and propose mitigation alternatives
- Conduct the filing and registration of minutes, bylaws, amendments to bylaws, and other institutional acts with the Civil Registry of Legal Entities and other competent authorities
- Monitor certificates, documents, and legal compliance requirements
- Keep corporate/association and institutional documentation organized and up to date
- Act as the Data Protection Officer (DPO) pursuant to the Brazilian General Data Protection Law (LGPD)
- Serve as the communication channel between the Institute, data subjects, and the Brazilian Data Protection Authority (ANPD)
- Advise internal areas on best practices for processing personal and sensitive data
- Draft, review, and keep policies, privacy notices, and data protection documents up to date
- Support Data Protection Impact Assessments (DPIAs) and risk analyses for projects, contracts, and partnerships
- Monitor information security incidents involving personal data and support legal responses and communications
- Monitor legislative and regulatory changes relating to data protection and recommend adjustments
Requirements
What you’ll need- Bachelor’s degree in Law and active registration with the Brazilian Bar Association (OAB)
- Professional experience compatible with working as an attorney or Mid-Level Legal Analyst in companies, associations, institutes, foundations, or Third Sector organizations
- Experience in legal advisory work and contracts
- Practical knowledge of legislation applicable to the Third Sector, particularly associations/foundations, volunteer service, and institutional governance
- Experience with General Meetings, Boards, Executive Committees, and the formalization of governance acts
- Experience managing or liaising with external law firms
- Strong analytical, organizational, and legal writing skills
- Ability to translate legal matters into practical guidance for non-legal teams
- Postgraduate degree or specialization in Third Sector Law, Corporate Law, Contracts, Compliance, or Governance
- Experience in member-based organizations, institutes, or foundations
- Knowledge of the LGPD and data protection
- Experience with Compliance, integrity, or risk management
- Experience with governance processes and engagement with Boards
- Experience developing or reviewing institutional policies, standards, and procedures
