About the role

Key responsibilities & impact
  • Report to corporate counsel as a member of the Law Department team
  • Draft, review and revise corporate governance documents and records, including articles, bylaws/operating agreements, written actions, resolutions and certificates
  • Organize, maintain and manage corporate records and databases
  • Register and maintain state and local business qualifications, assumed business name registrations and annual renewals/reports
  • Assist with mergers, acquisitions, divestitures, joint ventures and financing transactions
  • Coordinate due diligence and organize data rooms
  • Prepare documents for foreign entity management supporting international development non-profit activities
  • Liaise with outside counsel for project coordination
  • Maintain records and processes for lender reporting and annual audit
  • Execute general paralegal duties supporting attorneys

Requirements

What you’ll need
  • Associate degree or higher and paralegal certification
  • 5 or more years of experience as a corporate paralegal in a law firm or corporate legal department
  • Experience drafting, reviewing and revising corporate governance documents and records
  • Familiarity with large and complex organizations that have multiple businesses and subsidiaries
  • Proficiency in Microsoft Office Suite and DocuSign
  • Excellent organizational skills and ability to effectively communicate with all levels of the company
