About the role

Key responsibilities & impact
  • Advise the business on corporate transactions, company secretarial work and corporate governance
  • Structure, review, negotiate, execute and manage M&A, joint venture, corporate, financing, shareholder and commercial contract arrangements
  • Support the Investment Committee Secretary with investment committee and investment approval processes
  • Assist with legal due diligence and manage external legal advisers and associated fees
  • Work with local counsel on German and Polish transactions
  • Oversee company secretarial matters, statutory registers and filings
  • Draft board and shareholder minutes and resolutions
  • Implement corporate actions and reorganisations, including dividends, share allotments, buybacks, amendments of Articles and board composition
  • Manage incorporations of UK and non-UK group companies
  • Manage third-party company secretarial providers for group companies outside the UK
  • Coordinate KYC requests, including document certification and notarisation
  • Advise HR, finance, procurement and operations on day-to-day legal queries
  • Support disputes, internal governance processes, policies, and legal and regulatory developments
  • Improve team processes through legal technology and AI, including drafting, due diligence, KYC, governance and knowledge management
  • Work directly with teams across the business, especially the investment team and deal leads

Requirements

What you’ll need
  • Qualified in England and Wales, or in another common law jurisdiction with English law experience
  • Circa 1–3 PQE; other PQE levels with the appropriate experience will be considered
  • Corporate or M&A experience from a law firm, whether in practice or through training contract seats
  • Genuine interest in corporate transactional work and ambition to take on more responsibility on deals over time
  • Self-starter with a ‘can-do’ attitude when taking carriage of broader in-house matters, including governance, employment, disputes and general commercial queries
  • Strong commercial awareness and business sense
  • Highly organised, with close attention to detail and ability to manage a high volume of matters
  • Initiative in improving processes and ways of working, and genuine interest in using legal technology and AI
  • Applicants must have the right to work in the UK; visa sponsorship is not available
  • Demonstrable track record of implementing legal technology or AI tools in practice is advantageous but not essential
  • Renewable energy or infrastructure experience is advantageous but not essential
  • Some in-house experience is advantageous but not essential
  • Cross-border transactional experience is advantageous but not essential
  • German or Polish language skills are advantageous but not essential
  • Company secretarial or corporate governance experience is advantageous but not essential
