About the role

Key responsibilities & impact
  • Own the legal side of new and follow-on investments, from structuring and first drafts through to completion.
  • Draft and review term sheets, subscription agreements, shareholders’ agreements, SAFEs, convertible notes and side letters.
  • Run legal, IP and corporate diligence and communicate material risks to the investment team.
  • Support portfolio companies with board and shareholder approvals, secondaries, restructures and exits.
  • Brief external counsel on larger or more complex transactions when appropriate.
  • Support legal and compliance workflows, including ESVCLP obligations.
  • Review commercial contracts, NDAs and vendor agreements.
  • Maintain templates, precedents and the legal knowledge base.
  • Use AI tools for drafting, review, diligence and summarisation, verifying outputs.
  • Build repeatable AI-enabled legal workflows and help establish guardrails for confidentiality, accuracy and professional obligations.
  • Work with the General Counsel, investment team, portfolio companies and external counsel.

Requirements

What you’ll need
  • Admission as a lawyer in Australia, with 3–5 years PQE.
  • Venture capital experience, at a venture-focused firm or in-house at a VC-backed startup.
  • Strong drafting and negotiation skills.
  • Strong AI literacy; tools like Claude are part of normal drafting, review and research.
  • Ability to work independently, juggle several live deals at once and know when to escalate.
  • Sound judgement on confidentiality and conflicts.
  • Familiarity with Australian VC documents, market norms and the ESVCLP regulatory framework (nice-to-have).
  • Transactional experience in other jurisdictions, such as the USA (nice-to-have).
  • Exposure to deep tech issues: IP ownership, university spin-outs and licensing (nice-to-have).
  • Experience building templates, playbooks or legal ops processes (nice-to-have).
