About the role

Key responsibilities & impact
  • Build and continuously improve the governance function, including Board processes, governance policies, governance technology, disclosure controls, and public-company readiness initiatives
  • Assist with corporate secretarial function operations
  • Develop and execute the shareholder engagement strategy
  • Respond to shareholder inquiries and conduct proactive outreach to key shareholders
  • Organize and engage in biannual governance roadshows
  • Serve as a key point of contact with ISS and Glass Lewis
  • Develop and execute proxy statement disclosure strategy
  • Coordinate stakeholders on governance disclosures, shareholder proposals, and no-action requests
  • Monitor, assess, and implement corporate governance, proxy statement, and shareholder engagement developments
  • Advise on securities law, corporate governance, and public company matters
  • Design and deliver training and practical guidance on securities law, governance, and compliance
  • Lead SEC reporting processes for Forms 10-K, 10-Q, and 8-K
  • Support disclosure controls, public company compliance programs, and listing compliance processes
  • Collaborate on SEC filings and regulatory disclosures
  • Collaborate with Finance, Accounting, Investor Relations, and Communications on earnings and press releases
  • Build and oversee insider trading compliance processes, including trading clearances, Rule 10b5-1 plans, equity transaction reviews, and share repurchases
  • Monitor SEC rules and legal and compliance developments; support education, policy development, implementation, and compliance

Requirements

What you’ll need
  • Juris doctor degree or equivalent
  • 7+ years relevant experience practicing as an attorney in public company governance and securities laws
  • Admitted to practice before a state bar, with active license in good standing
  • Knowledge of SEC and stock exchange rules, particularly regarding board composition, director independence, conflicts, related person transactions, and proxy statement disclosures
  • Experience building or enhancing governance, disclosure, and compliance processes
  • Proficiency communicating with executives, directors, shareholders, business teams, and other stakeholders
  • Ability to work independently and collaboratively in a matrixed enterprise environment
  • Strong working relationship-building record
