About the role

Key responsibilities & impact
  • Manage litigation matters and coordinate with external lawyers and legal advisors
  • Conduct legal and regulatory monitoring and identify implications for the company
  • Manage corporate legal matters, including incorporation, amendments to the articles of association, changes in directors or officers, registered office transfers, capital increases or reductions, securities transactions, dissolutions and liquidations, and related matters
  • Organize and prepare Board of Directors meetings, General Meetings and other governance bodies
  • Prepare notices, agendas, meeting materials, minutes and resolutions
  • Monitor legal and regulatory filings with the relevant authorities and organizations
  • Maintain and update the company’s corporate registers and legal records
  • Coordinate with shareholders, directors, officers, external counsel and various internal stakeholders
  • Participate in the implementation and monitoring of compliance policies and procedures
  • Identify, assess and prevent legal and compliance risks
  • Monitor regulatory obligations and contribute to bringing the company’s practices into compliance
  • Raise awareness among and support teams on compliance requirements, particularly regarding ethics, conflicts of interest, anti-corruption, international sanctions and competition law
  • Participate in compliance controls, audits and corrective actions

Requirements

What you’ll need
  • Master’s degree in Law, ideally with a specialization in Business Law, Corporate Law, Contract Law or Employment Law
  • At least 3 to 5 years of experience in an in-house legal role within an industrial company or in a law firm
  • Significant experience in corporate law, corporate secretarial work and compliance is highly preferred
  • Strong knowledge of business law and contract law
  • Good knowledge of corporate law and governance rules
  • Good knowledge of employment and labor law
  • Ability to draft, review, mitigate risks in and negotiate various types of contracts
  • Excellent analytical, synthesis and writing skills
  • Rigor, organizational skills and attention to detail
  • Ability to anticipate risks and propose pragmatic, operational legal solutions
  • Strong sense of confidentiality and discretion
  • Autonomy, responsiveness and ability to manage multiple matters simultaneously
  • Strong communication skills and ability to work with stakeholders at various levels
  • Fluency in French and Arabic
  • Good professional English proficiency, particularly for reading and drafting legal documents
