About the role

Key responsibilities & impact
  • Maintain and organize corporate records, governance documents, and minute books for the parent company and subsidiaries.
  • Prepare and file documents for the formation, maintenance, and dissolution of entities across multiple jurisdictions.
  • Ensure compliance with federal, state, and local regulations, including timely filing of annual reports and other required documentation.
  • Organize and maintain hard copy and web-based subsidiary and legal contracts databases.
  • Assist attorneys in drafting and reviewing legal documents related to mergers, acquisitions, and other corporate transactions.
  • Coordinate due diligence processes, including organizing and managing virtual data rooms.
  • Prepare closing checklists, coordinate document execution, and manage post-closing activities.
  • Monitor changes in laws and regulations affecting company operations and advise on necessary actions.
  • Assist with regulatory documents and compliance-related submissions.
  • Liaise with internal departments, external counsel, and regulatory bodies.
  • Provide guidance to business units on corporate legal and compliance matters.
  • Support legal operations, including invoice processing and budgeting.

Requirements

What you’ll need
  • Bachelor's degree in Legal Studies, Business Administration or a related field from an accredited college or university.
  • ABA paralegal certification or equivalent practical experience.
  • Minimum of 7 years of experience as a corporate paralegal, preferably in a corporate legal department or large law firm, performing sophisticated work.
  • Extensive knowledge of corporate governance principles, laws, and regulations.
  • Familiarity with federal, state and local forms and filing procedures.
  • Proficiency in managing corporate entities across multiple jurisdictions.
  • Strong organizational and project management skills with excellent attention to detail.
  • Ability to work independently and handle multiple tasks simultaneously.
  • Proficiency in Microsoft Office Suite and legal research databases.
  • Excellent written and verbal communication skills, including a clear and concise drafting style.
