About the role

Key responsibilities & impact

Build a legal function that scales with Qutwo's business
Develop contract templates, a contract playbook, contract repository and signing process
Negotiate non-standard and strategic agreements
Manage board and shareholder documentation, share issues, convertible loan agreements, stock option programs, employee equity documentation, cap table management, group structure and related-party approvals
Support GDPR compliance, data processing agreements and EU AI Act readiness
Map legislation applicable to Qutwo and define business owners and Legal's role
Support employment contract templates, cross-border employment, IP assignment and invention arrangements
Design and run an AI-enabled legal function
Select and deploy legal AI platforms such as Legora or Harvey
Build reusable legal skills, prompts and playbooks for contract review, NDA triage and due diligence
Enable business teams to self-serve on standard legal matters
Support M&A transactions, including due diligence, transaction documents and post-closing legal integration
Select and manage law firms and own the legal budget
Manage legal operations, including signing authorities, powers of attorney, legal risk register and reporting to management and the Board
Manage disputes and claims with external counsel

Requirements

What you’ll need

Master of Laws (OTM or equivalent)
8+ years of experience from a leading law firm and/or in-house at a technology company
Strong track record in commercial contracting for software, SaaS or technology licensing
Hands-on experience in corporate law and venture financing, including Finnish Companies Act, share issues, option programs and convertible instruments
Hands-on experience using AI in legal work, such as Legora, Harvey or general-purpose LLMs
Drive to develop legal skills, prompts and automated workflows
Experience working in an international setting, including cross-border deals, counterparties and colleagues across jurisdictions and cultures
Experience coordinating foreign counsel where needed
Excellent written and spoken English
Comfortable with ambiguity and able to make sound judgment calls with incomplete information
Able to build structure where none exists and adapt quickly as priorities shift
Ambitious, pragmatic and business-minded
Comfortable working independently and prioritizing in a fast-moving scale-up
Nice-to-haves: exposure to M&A transactions, ideally on the buy side
Nice-to-haves: background in AI, deep tech or quantum computing
Nice-to-haves: experience deploying legal tech or building legal automation, such as contract lifecycle management, AI agents or no-code workflows
Nice-to-haves: experience building a legal function from scratch in a scale-up
