About the role

Key responsibilities & impact

Serve as lead legal corporate counsel and strategic business partner
Advise on corporate structure, entity management, board governance, mergers and acquisitions, and strategic liquidity transactions
Oversee corporate attorneys and paralegals
Collaborate with compliance teammates and business clients to identify and resolve legal and corporate matters
Advise on federal and state corporate laws and SEC regulations
Draft and review contracts, agreements, corporate filings, and other documents
Provide advice on proposed agreements, transactions, and corporate law matters
Support business, legal, and compliance counterparts on corporate issues and deals
Lead legal counsel for Practice corporate transactions
Oversee drafting, negotiation, and issuance of equity grants
Provide corporate legal advice and support on tax matters
Coordinate matters with outside counsel
Advise on corporate policies and procedures
Develop and refine legal playbooks and training
Promote communication and cooperation among teammates
Manage direct-report performance through coaching, counseling, career development, and disciplinary actions

Requirements

What you’ll need

J.D. degree from an ABA accredited law school
Licensed to practice law and a member in good standing of a state bar association
8+ years of corporate and transactional legal experience, specifically large M&A and IPO, at a law firm and/or in-house position
Experience with healthcare industry and large M&A and IPO both in private practice and in-house preferred
Experience with multi-site health care provider organization preferred
Excellent oral and written communication skills
Strong organizational skills and attention to detail
Ability to multi-task and prioritize work matters
Ability to work with and maintain confidential information
Strong interpersonal skills
Strategic thinking skills to provide practical advice with an awareness of legal risks in the business context
Intermediate MS Word, PowerPoint, Outlook, and Excel required
Up to 25% travel
