About the role
Key responsibilities & impact- Provide in-house legal counsel to leadership, business development, operations, finance, revenue cycle, HR, IT, real estate, and affiliated practices
- Develop practical legal advice, structures, and strategies based on the company's business, people, markets, facilities, and affiliated clinicians
- Serve as day-to-day legal point of contact for field leadership, triage issues, and resolve most matters independently
- Lead or support legal workstreams for practice acquisitions, de novo openings, and strategic transactions
- Handle LOIs, due diligence, facility leasing and renovation, and closing deliverables
- Coordinate post-closing integration, including contract assignment and licensure and permit transfers
- Negotiate, draft, and review oral surgeon employment and independent contractor agreements, vendor agreements, real estate leases, consultant agreements, and payer contracts
- Develop and maintain contract templates, playbooks, and approval workflows
- Advise HR and operations on multi-state employment matters
- Draft and enforce state-specific restrictive covenants
- Manage agency charges and employment-related disputes with outside counsel
- Negotiate and review office leases, lease amendments, assignments, and build-out agreements
- Advise on HIPAA, state privacy laws, cybersecurity, Anti-Kickback Statute, Stark and state self-referral laws, fee-splitting, Medicaid, and advertising rules
- Advise on corporate practice of dentistry restrictions and clinical independence within the DSO model
- Advise on dental board requirements, licensure, sedation and anesthesia permits, scope of practice, and facility permits
- Conduct or support privileged internal investigations
- Review and interpret statutes, regulations, policies, and administrative or judicial decisions
- Develop compliance-supporting policies
- Review marketing materials, websites, patient financing programs, and external communications for legal compliance
- Develop risk-mitigation strategies, policies, and processes
- Manage litigation, demand letters, subpoenas, government inquiries, and dental board complaints with outside counsel and insurers
Requirements
What you’ll need- Required JD from an accredited law school
- Active bar admission in good standing in at least one U.S. jurisdiction
- Eligibility for in-house registration where the role is based
- At least 6 years of combined law-firm and in-house experience
- Meaningful healthcare industry experience
- Broad, hands-on knowledge of transactions, commercial contracts, healthcare regulatory, compliance, and employment law
- Ability to own matters independently from first draft through negotiation and close, with limited supervision
- Strong detail orientation and analytical, organizational, and drafting skills
- Ability to prioritize many assignments and deadlines simultaneously
- Business- and customer-focused approach to practical legal solutions
- Ability to thrive in a fast-paced, evolving environment and small, collaborative legal department
- Preferred: Experience at a DSO, MSO, physician practice management company, multi-site provider group, or advising those organizations at a law firm
- Preferred: Experience with healthcare M&A, including diligence and integration in an acquisition-driven or private equity-backed platform
- Preferred: Working knowledge of corporate practice of dentistry or medicine doctrines, fee-splitting rules, and state dental board regulation across multiple states
- Preferred: Experience drafting and enforcing clinician employment agreements and restrictive covenants in multiple states
- Preferred: Experience negotiating commercial healthcare real estate leases
