About the role
Key responsibilities & impact- Lead the drafting, negotiation, and review of corporate documents, including bylaws and articles of association, shareholder agreements, minutes of governing bodies, powers of attorney, and governance policies
- Lead legal workstreams for M&A transactions and corporate reorganizations
- Coordinate due diligence, negotiate transaction and closing documents, monitor conditions precedent, and manage post-closing obligations
- Take responsibility for the integrity of the group’s corporate books and records
- Oversee filings with Commercial Registries, notary offices, and other competent authorities
- Ensure compliance with the corporate and regulatory obligations of the company and its subsidiaries, including obligations arising from its status as a Nasdaq-listed Foreign Private Issuer
- Collaborate with Investor Relations, Controllership, and external advisors in the United States and the Cayman Islands
- Provide legal opinions and recommendations to business areas and leadership
- Support the governance secretariat in meetings of the Board of Directors and committees
- Coordinate and oversee external law firms and domestic and international vendors
- Develop and enhance databases and workflows for managing corporate legal documentation
- Serve as a technical reference for junior and mid-level lawyers by reviewing deliverables and disseminating best practices
Requirements
What you’ll need- Bachelor’s degree in Law
- Active registration with the Brazilian Bar Association (OAB)
- Postgraduate degree, LL.M., or specialization in Corporate Law, M&A, or Capital Markets (preferred)
- Solid experience in corporate law and M&A, gained at a top-tier law firm and/or the legal department of a large company
- Proven experience leading M&A transactions and corporate restructuring projects, including negotiating transaction documents
- Experience working with publicly traded/listed companies
- Knowledge of corporate governance obligations and Foreign Private Issuer regimes (SEC/Nasdaq) is a plus
- Practical expertise in preparing corporate documents and handling filings with Commercial Registries
- Advanced/fluent English
- Spanish is a plus
- Proficiency in Microsoft Office and document organization
- Familiarity with artificial intelligence tools is a plus
- Autonomy, business acumen, stakeholder management skills, and the maturity to handle sensitive matters with discretion
