About the role

Key responsibilities & impact

Draft, review, and negotiate mining-related commercial agreements, including joint ventures, royalty agreements such as net smelter return (NSR) arrangements, and offtake agreements for concentrate and doré products
Support small-scale M&A transactions, including due diligence, drafting, negotiation, and other North American M&A activity
Provide legal support on corporate and securities matters
Work closely with legal and business stakeholders to understand business priorities and provide practical legal guidance
Independently manage matters and transactions with minimal supervision in a lean legal environment

Requirements

What you’ll need

Meaningful in-house legal experience with a mining company
Hands-on experience with mining transactions and commercial arrangements
Experience supporting corporate, commercial, M&A, joint venture, royalty, or offtake matters
Familiarity with public-company and securities matters
Licensed to practice law in an applicable jurisdiction
Experience with U.S. securities matters (preferred)
Experience working within a lean in-house legal team (preferred)
Successful completion of a background check may be required
Proof of identity and necessary legal authorization to work
