Key responsibilities & impact

Lead legal workstreams for model lab relationships, including distribution agreements, hosted API and early-access arrangements, token and capacity commitments, joint development agreements, and renegotiations
Lead strategic platform and channel deals, including hyperscaler marketplace and gateway agreements, white-label and reseller structures, co-sell and referral arrangements, and enterprise partnerships
Build and own Baseten’s framework for open weight and custom model licenses
Advise customer deals on model licensing, attribution, threshold mechanics, and responsibility allocation
Advise leadership on channel strategy, conflicts, competition, exclusivity, most-favored terms, and information flow
Partner with regulatory, policy, and security leads on export controls, sanctions, KYC, and data residency
Build and maintain templates, playbooks, and per-release licensing statements
Support M&A, acquihires, and other strategic transactions, including diligence on inherited licenses and partner agreements
Help build the partnerships legal function and contribute across the legal team
Report to the Chief Legal Officer and work directly with founders and partnerships leads

Requirements

What you’ll need

JD and active bar membership in good standing
8+ years of technology transactions or partnerships experience
Meaningful in-house experience leading partnership, licensing, or platform deals at an AI, cloud, or developer infrastructure company
Deep familiarity with open source and open weight model licenses
Experience interpreting licenses across shared, dedicated, customer-supplied, and fine-tuned deployment models
Experience structuring strategic partnerships involving channel, reseller, marketplace, and co-sell arrangements
Direct experience allocating IP and indemnity risk in AI or platform agreements
Ability to explain legal and deal structures to founders, partnerships leads, and customer counsel
Ability to learn, build, and master AI tooling and systems
Desire to become a recognized thought leader
Ability to work onsite Tuesday–Thursday in the San Francisco or New York office
Unrestricted work authorization in the United States is asked about in the application
JD and bar membership are required; no experience alternative to the JD is stated
