About the role

Key responsibilities & impact
  • Lead the global entity management function across the full lifecycle of domestic and international legal entities
  • Manage the portfolio of U.S. and international legal entities and maintain jurisdictional good standing
  • Manage filings, licenses, tax registrations, and other entity compliance obligations
  • Support formation of new entities, including formation documents, registrations, licenses, bank accounts, and local service providers
  • Maintain and update the organizational chart and centralized entity data
  • Prepare and maintain board and shareholder resolutions, written consents, minutes, and governance documents
  • Coordinate board meetings, annual general meetings, and other corporate proceedings across multiple time zones
  • Manage powers of attorney, authorized signatory lists, notarization, apostillization, and legalization requirements
  • Partner with tax, treasury, and finance teams on entity structuring, intercompany transactions, and transfer pricing documentation
  • Coordinate with outside counsel and local agents regarding foreign corporate law and regulatory requirements
  • Support M&A, joint venture, and restructuring transactions through entity-level due diligence, integration, and post-closing activities
  • Liaise with business units on entity-related inquiries and governance procedures
  • Support professional licensing efforts
  • Streamline entity management workflows using technology solutions
  • Develop standard operating procedures, templates, and best-practice guides
  • Generate reports on entity portfolio status, compliance health, and upcoming deadlines
  • Serve as primary contact for registered agents, regulatory agencies, outside counsel, and internal stakeholders
  • Support Legal team members and other employees on assigned tasks
  • Help build a best-in-class legal and compliance function focused initially on entity management and contracting

Requirements

What you’ll need
  • 5+ years of experience in entity management, compliance, and/or legal operations
  • BS/BA from an accredited university preferred; equivalent work experience will be considered
  • Proficiency with Microsoft Office Suite
  • Highly organized and structured, with the ability to juggle multiple priorities
  • Excellent oral and written communication skills
  • Ability to thrive in ambiguity and work independently with minimal guidance
  • Ability to handle confidential and sensitive information with discretion and integrity
  • Experience in project management and advisory, construction, or energy industries preferred
  • Experience managing entities across multiple international jurisdictions preferred
  • Working knowledge of corporate governance principles, statutory compliance requirements, and secretary of state filing procedures preferred
  • Proficiency with Cogency or other entity management software preferred
  • Experience with SAM.gov registrations, renewals, and filings preferred
  • Experience in professional licensing preferred
  • Comfortable with new technologies and software, including generative and agentic artificial intelligence
