About the role
Key responsibilities & impact- Support the business on commercial contracts, employment, corporate governance, compliance, and disputes
- Report to the General Counsel
- Draft, review and negotiate commercial agreements, including NDAs, vendor, customer, supplier and services agreements
- Research legal issues and write practical memos and guidance for business teams
- Help run compliance programs, including privacy, code of conduct programs, training, and policy updates
- Coordinate with outside counsel on litigation, disputes and specialized matters
- Track legal matters and spending
- Support due diligence and integration work on transactions
- Identify legal risks and escalate issues to a senior lawyer when needed
- Improve legal processes, templates and self-service tools for the business
Requirements
What you’ll need- JD from an accredited law school
- Active bar membership in good standing in Michigan, Ohio, New York, Indiana or Pennsylvania
- 2–4 years of experience at a law firm or in-house legal department
- Contract lifecycle management system experience
- Legal matter management system experience
- Strong research, writing and analytical skills
- Ability to explain legal issues in plain terms to non-lawyers
- Sound judgment on when to escalate
- Ability to independently manage many matters at once in a fast-moving environment
- Exposure to commercial contracting and corporate work is preferred
