About the role

Key responsibilities & impact

Provide paralegal support to Cooley attorneys and senior paralegals
Perform administrative duties as assigned
Prepare and maintain organizational documents
Prepare partnership and limited liability company agreements
Prepare side letters, transfer agreements, admission agreements and other amendments
Conduct investor suitability due diligence
Research Federal and State securities regulations in connection with fund formations
Prepare and file requisite notices
Conduct due diligence review of documents and prepare opinions and backup in connection with fund formation
Handle SEC compliance reporting for venture fund clients regarding public company stock portfolios
Submit time sheets and e-timelogs in a timely manner
Perform all other assigned or required duties

Requirements

What you’ll need

Available to work overtime, as required
After orientation at Cooley LLP, proficiency in the Microsoft Office suite, iManage and other firm applications
Bachelor’s Degree
Bill a minimum of 1600 hours annually
Minimum of 5 years of paralegal experience, preferably in Fund Formation
Ability to work independently and as part of a team in a fast-paced environment for multiple supervisors
Ability to meet deadlines and maintain flexibility with work assignments and work schedules
Ability to organize and prioritize work assignments and delegate tasks to service departments when necessary
Excellent written, communication and proofreading skills with attention to detail
Ability to work well with others, including clients
Ability to work well under pressure
Initiative, diplomacy, and tact
