About the role
Key responsibilities & impact- Manage a portfolio of regulated and non-regulated funds and related entities.
- Lead, mentor, supervise, and develop the Corporate Secretarial team, setting objectives and service standards.
- Oversee planning and delivery of board, committee, shareholder, and annual general meetings.
- Prepare and review board packs, agendas, minutes, resolutions, statutory records, filings, and corporate documentation.
- Ensure compliance with Luxembourg Companies Law, CSSF requirements, AML/KYC obligations, governance obligations, and filing deadlines.
- Act as the primary senior contact for key clients, board members, and internal and external stakeholders.
- Provide governance guidance and manage complex company secretarial matters.
- Coordinate statutory registers and corporate records for managed entities.
- Support fund launches, restructurings, mergers, client onboarding, and new governance arrangements.
- Maintain quality standards and identify, manage, escalate, and resolve operational and governance risks.
- Drive process improvement, standardisation, automation, and digital governance initiatives.
- Collaborate with Fund Administration, Legal, Compliance, Tax, and other departments on cross-functional projects.
- Monitor legislative changes and implement regulatory updates across the Corporate Secretarial function.
Requirements
What you’ll need- Master's degree in Law, Corporate Governance, or a related field is required.
- Minimum 10-15 years of experience in Luxembourg corporate secretarial services or legal administration.
- Minimum 5 years in a leadership role.
- In-depth knowledge of Luxembourg corporate law and regulatory requirements.
- Excellent leadership, communication, and client relationship management abilities.
- Ability to work independently and manage multiple priorities effectively.
- Strong analytical and problem-solving skills, with a focus on process improvement.
- Proficiency in Microsoft Office and relevant corporate secretarial software.
- Professional qualification in Corporate Governance or Company Secretarial Practice is advantageous.
- Experience within a fund administrator, trust company, or asset manager is preferred.
- Additional background checks may be carried out, and an original criminal record may be requested.
