About the role
Key responsibilities & impact- Serve as the single owner of every inbound contract
- Set the company’s commercial position, present it to counterparties, negotiate and close agreements
- Protect and improve margin through contract terms, including escalation, unpriced scope, mobilization, change orders and claims
- Build favorable cash timing into agreements through mobilization and deposit payments, milestone billing, stored materials billing, retention reduction, payment terms and pay application timing
- Control downside risk through schedule relief, executable change order and claim processes, escalation and force majeure protection, and durable scope exclusions
- Cap liability and damages through mutual limitations of liability, consequential-damages waivers, liquidated-damages caps, narrowed indemnity and defined warranty durations
- Build and own master service agreement and SLA templates for the service and maintenance business
- Exercise veto authority over specified high-risk terms and escalate exceptions to the CEO
- Own the commercial terms portion of bid/no-bid standards and publish guidance to estimators and sellers
- Participate in pursuit review before letters of intent
- Report quantified margin, cash timing and risk outcomes to the CEO monthly
- Own and advance the contract review workflow, SOP, project approval form and delegation-of-authority process
- Manage outside counsel for litigation and specialized matters
- Review the active portfolio, publish the terms standard, and negotiate live pursuits during the first 90 days
Requirements
What you’ll need- Seven or more years negotiating construction subcontracts from the trade contractor side or general contractor side
- Working command of AIA and ConsensusDocs forms
- Fluency in flow-down provisions, pay-if-paid and pay-when-paid enforceability by state, lien and bond claim rights, retention, liquidated damages, indemnity, additional insured and waiver of subrogation, and surety and bonding requirements
- Track record of extracting terms improvements from counterparties with greater leverage
- Ownership of a function end to end across a national footprint
- Judgment to recommend walking away from revenue when appropriate
- Ability to maintain speed and avoid contract turnaround bottlenecks
- Master service agreement and recurring service contract experience with SLA structures is helpful, not required
- Data center, utility, transportation or other critical infrastructure experience is helpful, not required
- Multi-entity environments and acquisition diligence exposure is helpful, not required
- Public agency and federally funded work, including prevailing wage and bonded project requirements, is helpful, not required
- JD or paralegal certification is welcome and not required
- Must be able to travel as required
