About the role
Key responsibilities & impact- Advise on tax structuring and legal analysis for mergers, acquisitions, divestitures, joint ventures, and internal reorganizations
- Support due diligence and review and draft transaction documents
- Advise on post-closing integration matters
- Lead and support federal, state, local, and indirect tax audit defense and controversy matters
- Research and respond to Information Document Requests and Notices of Proposed Adjustment
- Support or draft protests, refund claims, and similar submissions
- Coordinate with outside counsel on administrative appeals and litigation as needed
- Review and advise on tax provisions in sales, joint venture, service, licensing, and intercompany agreements
- Advise on tax indemnification, cost allocation, gross-up provisions, and withholding obligations
- Conduct legal research on federal, state, local, and international tax questions
- Draft technical memoranda supporting company tax positions
- Identify, analyze, and maintain compliance with tax credits and incentives
- Partner with Tax Operations, Accounting, Legal, M&A, Controllers, Treasury, Finance, and Government Affairs
- Integrate tax considerations into enterprise business planning and decision-making
- Report to the Managing Counsel for Global Tax
Requirements
What you’ll need- Juris Doctor (J.D.) or Master of Laws
- Admission to a State Bar or eligibility for admission
- Minimum of 5 years of substantive tax legal experience
- Ability to work legally in the United States
- No visa sponsorship/support is available, including for U.S. permanent residency processes
- LL.M. in Taxation preferred
- At least 6 years of deep tax legal experience in a core tax law area preferred
- Familiarity with IRS examination, administrative appeals, and state/local audit processes preferred
- Familiarity with tax accounting concepts, including ASC 740 and uncertain tax positions, preferred
- Prior experience at a major law firm or Big 4 accounting firm tax practice preferred; in-house multinational tax counsel experience valued
- Strong legal research, analytical, and writing skills
- Ability to draft technical tax memoranda and legal arguments
- Ability to review, draft, and negotiate tax provisions in commercial contracts
- Ability to manage multiple complex matters simultaneously under time pressure
- Self-starter with a collaborative mindset and comfort operating in a matrixed, global organization
