About the role

Key responsibilities & impact
  • Provides legal advice and support to EPRI under the supervision of a senior EPRI attorney
  • Responds to legal issues and needs for an entire business sector or business area
  • Prioritizes and juggles competing demands with moderate support from other EPRI attorneys
  • Assists in providing legal services, representation, and support to EPRI management and staff
  • Anticipates and manages risk to protect the Institute
  • Analyzes and negotiates contractual and licensing transactions
  • Evaluates compliance with applicable law and policy
  • Drafts, negotiates, and finalizes licenses and agreements with members, funders, contractors, and other third parties
  • Provides assistance on international and compliance matters
  • Makes recommendations on variances from standard policies and legal terms
  • Drafts transactional and other documents, procedures, and processes supporting EPRI policies
  • Researches and analyzes legal issues involving intellectual property, regulatory compliance, corporate governance, and tax-exempt corporation law
  • Performs other duties as needed

Requirements

What you’ll need
  • Law Degree from nationally accredited law school (or foreign equivalent)
  • Bar membership in good standing in any of the states CA, TN, or NC
  • Strong ability to express complex ideas orally and in writing
  • 1 - 5 years of applicable experience, having both law firm and in-house counsel experience a plus
  • Familiarity with enterprise resource planning and enterprise content management a plus
  • Basic knowledge of intellectual property law (licensing) and experience drafting licenses or other contracts
  • Working knowledge of tax exemption laws applicable to scientific research organizations, licensing (including software) and copyright
  • Experience with international transactions a plus
  • Additional requirements for International Corporate Counsel I: Solid international business experience, knowledge of at least one foreign language pertinent to EPRI’s business (preferably two), and familiarity with international compliance issues, such as export control or the general data protection regulation
  • Integrity, strong work ethic, and ability to manage varying priorities and deadlines
  • Enthusiasm for solving problems and working in a team/collaborative environment
  • Ability to independently work on problems of moderate scope where analysis of situations or data requires a review of a variety of factors
  • Exercises sound judgment, particularly in determining when to elevate issues and ask questions
