About the role

Key responsibilities & impact
  • Draft, review, and redline commercial agreements, including SaaS MSAs, cloud service agreements, SOWs, DPAs, NDAs, professional services agreements, security exhibits, reseller and channel agreements, and vendor/procurement contracts
  • Negotiate routine-to-complex legal and commercial terms using approved playbooks, fallback positions, and escalation frameworks
  • Analyze, redline, and negotiate customer or vendor paper
  • Evaluate contractual and business risks and escalate unique IP, compliance, regulatory, or liability issues to legal counsel
  • Partner with Sales, Customer Success, Procurement, Finance, Revenue Operations, and Information Security on deal execution
  • Triage contract requests, manage prioritization against quarter-end deadlines, and ensure predictable turnaround times
  • Advise internal stakeholders on contracting terms, policies, approval workflows, and risk mitigation
  • Author and maintain contracting playbooks, standard templates, fallback clause libraries, and SOPs
  • Oversee contract lifecycle activities in the CLM platform
  • Track contracting metrics and deliver insights for operational improvement
  • Identify and champion AI-driven contract review, automated workflows, and self-service contracting opportunities
  • Develop and deliver contracting training and self-service resources
  • Report to the Director, Commercial Legal (Cloud & SaaS)

Requirements

What you’ll need
  • 7+ years of dedicated contract management or commercial transactions experience
  • Significant experience within a fast-paced technology company
  • Hands-on experience independently drafting, redlining, and negotiating high-value commercial agreements from inception to execution
  • In-depth knowledge of enterprise SaaS business models, licensing mechanics, and service level agreements (SLAs)
  • Working knowledge of data security schedules and data privacy principles, including GDPR and CCPA/CPRA
  • Proven ability to lead sophisticated negotiations
  • Exceptional written and verbal communication skills
  • Ability to explain nuanced legal concepts clearly and concisely to non-legal business stakeholders
  • Highly organized, detail-oriented, and self-directed
  • Strong interpersonal skills and collaborative, team-oriented approach
  • Bachelor’s degree, a professional certification such as CPCM or CCCM, a paralegal certificate, or equivalent practical experience
