About the role
Key responsibilities & impact- Serve as a strategic legal partner to global procurement, supply chain, manufacturing, engineering, quality, and operations teams
- Structure, draft, negotiate, and manage complex commercial transactions involving procurement, manufacture, and delivery of critical components, systems, and services for the energy storage business
- Advise on domestic and international supply chain matters, including supplier agreements, manufacturing arrangements, strategic sourcing, operational risk management, compliance, intellectual property, logistics, and supply continuity
- Draft, negotiate, and manage master supply agreements, product addenda, long-term supply agreements, contract manufacturing agreements, design and development agreements, tooling agreements, licensing agreements, statements of work, NDAs, logistics and warehousing agreements, and professional services agreements
- Lead negotiations covering pricing, volume commitments, forecasting, warranties, service levels, intellectual property rights, indemnities, liability limitations, and dispute resolution
- Provide legal support for global sourcing, procurement, manufacturing, and supplier management
- Advise on supply continuity, capacity reservations, allocation risks, transition planning, inventory commitments, and supplier performance remedies
- Support contract manufacturing and strategic supplier relationships across North America, Europe, and Asia
- Assist with supplier disputes, quality issues, warranty claims, delivery performance concerns, and commercial escalations
- Advise on domestic manufacturing and supply chain regulatory requirements, trade and import/export compliance, sanctions, restricted parties, anti-corruption, and responsible sourcing
- Support domestic content qualifications, supplier certifications, and government incentive programs
- Advise on intellectual property issues in supply and manufacturing transactions
- Structure and negotiate provisions concerning ownership, licensing, development rights, process know-how, manufacturing technology, tooling, and confidential information
- Partner with the intellectual property team to protect strategic technologies and manufacturing innovations
- Collaborate with Procurement, Supply Chain, Engineering, Quality, Operations, Manufacturing, Finance, and Compliance teams
- Develop contracting templates, negotiation playbooks, risk matrices, training materials, and legal processes to improve operational efficiency
Requirements
What you’ll need- Juris Doctor (J.D.) from an accredited law school
- Active membership in at least one U.S. state bar
- 7+ years of legal experience, including substantial experience supporting commercial transactions
- Significant experience drafting and negotiating complex supply chain, procurement, manufacturing, or commercial agreements
- Strong understanding of commercial contracting principles, including warranty structures, indemnification, risk allocation, limitation of liability, intellectual property, and supplier performance management
- Excellent communication, negotiation, and stakeholder management skills
- Ability to work independently while managing multiple competing priorities in a dynamic environment
- Legally authorized to work in the United States at the time of application and throughout employment, without employer sponsorship
- Preferred: In-house legal experience supporting manufacturing, procurement, supply chain, industrial, energy, technology, or infrastructure businesses
- Preferred: Experience with global supply chains and international commercial transactions
- Preferred: Familiarity with battery systems, electronics, power systems, renewable energy, energy storage, advanced manufacturing, or related industries
- Preferred: Experience advising on domestic content, local content, trade compliance, or government incentive programs
- Preferred: Strong business acumen and ability to provide practical, risk-balanced legal advice
