About the role
Key responsibilities & impact- Develop proficiency with A.I. tools to improve efficiencies and scale workflows and capabilities
- Draft, review, and negotiate commercial agreements, including master supply agreements, sales contracts, purchase orders, statements of work, vendor/supplier agreements, equipment procurement contracts, software licenses, NDAs, services agreements, leases, and joint development agreements
- Partner with sales, procurement, and business teams on contract terms, risk allocation, and negotiation strategy
- Identify, implement, and measure legal workflow improvements, including templates, automation, and training
- Monitor legal and regulatory developments affecting semiconductor-industry commercial contracting, including export controls, trade compliance, and IP licensing
- Advise on data privacy and protection, including data processing agreements and GDPR, CCPA, and other applicable privacy laws
- Support SEC reporting and public company compliance
- Assist with corporate governance, entity management, and subsidiary maintenance
- Provide legal guidance to the People Team and managers on day-to-day employment matters
- Manage pre-litigation matters and partner with outside counsel on litigation and government inquiries under senior legal leadership
- Support the corporate compliance program, including the Code of Business Conduct, anti-corruption/FCPA, conflicts of interest, insider trading policies, and employee training
- Support corporate development and M&A activity, including due diligence, ancillary documents, and post-closing integration
- Serve as a day-to-day advisor on routine and moderately complex contracting matters and collaborate with senior legal team members on complex, strategic, or non-standard transactions
Requirements
What you’ll need- J.D. from an ABA-accredited law school
- Active membership in good standing with at least one U.S. state bar
- A minimum of 2-3 years of law firm experience (AmLaw 50 or equivalent preferred)
- Strong attention to detail, with the ability to manage a high volume of commercial matters simultaneously
- Excellent judgment in balancing legal risk with business objectives
- Ability to work independently, prioritize effectively, and communicate clearly with non-legal stakeholders
- Demonstrated experience across general corporate legal matters, or the ability and willingness to learn and take on new subject areas
- Demonstrated track record of continuous improvement, including identifying inefficiencies in legal or business processes and implementing practical, measurable solutions
- Proficiency with legal technology and process automation, including A.I. tools
- Proven stakeholder management skills across sales, procurement, finance, HR, engineering, and executive leadership
- Ability to provide practical legal advice to personnel at all organizational levels, respecting cultural differences
- Exceptional negotiation, client-counseling, interpersonal, and problem-solving skills
- Familiarity with semiconductor-specific contract terms and structures, including IP licensing, equipment, and materials supply and purchase agreements (preferred)
- Minimum of 5 years of related experience with a Bachelor’s degree; or 3 years and a Master’s degree; or a PhD without experience; or equivalent work
