Tax Mergers & Acquisitions – Managing Director
GHJ. Manage and lead M&A tax consulting engagements, including tax due diligence, cross-border and domestic tax structuring and financing, QoE support, and modeling tax consequences of acquisitions and dispositions .
About the role
Key responsibilities & impact- Manage and lead M&A tax consulting engagements, including tax due diligence, cross-border and domestic tax structuring and financing, QoE support, and modeling tax consequences of acquisitions and dispositions
- Perform tax consulting engagements including Section 382 analysis, gross-up analysis, earnings and profits calculations, basis calculations, purchase price allocation, and transaction-costs analysis
- Review and model complex partnership operating agreements and sales agreements
- Apply and interpret U.S. federal income tax law, including Subchapter C corporations, partnerships, consolidated groups, tax-efficient structuring, debt, and Internal Revenue Code reorganization provisions
- Prepare written memoranda documenting research and analyzing tax-law outcomes
- Review and assist with transaction-related tax compliance consulting
- Assist with tax technical updates, thought leadership, webinars, and other firm initiatives
- Maintain knowledge of economic, political, and legislative trends affecting the business climate
- Supervise tax team members and provide on-the-job training
- Assist with recruiting, performance evaluations, training aids, and professional development programs
- Assist in client pursuits, including proposals and client pitch meetings
- Develop professional networks and participate in industry events
- Identify cross-selling opportunities with other GHJ departments
- Own client billing and engage in accounts-receivable collection
- Plan engagements and address complex issues before project start
- Identify value-added projects and opportunities for expanded client business
- Maintain presence on social media networking platforms such as LinkedIn
- Potentially lead a tax department or firm initiative
Requirements
What you’ll need- 10+ years of experience in public accounting (tax)
- Prior leadership of client engagements and supervisory experience of managers and staff
- Excellent oral and written communication skills
- Ability to work independently and use good judgment
- Strong interpersonal skills
- Strong coaching skills and desire to participate in the Coaching Program
- Creative thinker with an entrepreneurial approach to client interactions
- Willingness to lead firm or tax department initiatives
- Bachelor’s degree in Accounting, Business, or related equivalent
- Master of Science degree in Taxation or a J.D. highly preferred
- CPA certification or active law license required
