About the role
Key responsibilities & impact- Conduct lien and litigation searches and due diligence throughout all phases of transactions
- Prepare and coordinate UCC filings
- Review transaction documents for UCC-related requirements
- Manage closing and post-closing matters
- Collaborate with attorneys, clients, service providers, and internal and external stakeholders
- Obtain, review, and summarize lien and litigation searches from state and local jurisdictions
- Assist attorneys and paralegals with due diligence reviews
- Prepare and file UCC-1 financing statements and UCC-3 amendments, continuations, and terminations
- Order organizational documents and corporate and tax certificates of good standing
- Review finance and closing documents for UCC provisions, lien and termination authority, and other UCC requirements
- Coordinate with service companies regarding UCC filings and terminations for transaction closings
Requirements
What you’ll need- Bachelor’s degree or equivalent
- Paralegal certificate from an ABA-approved program, or signed declaration if located in a California office
- Minimum of four (4) years of law firm related experience as a paralegal
- Advanced proficiency with firm technologies and resources
- Ability to quickly adopt new tools and integrate technology into workflows
- Advanced organizational and time management skills
- Ability to manage complex workflows and competing priorities
- Strong attention to detail and commitment to quality
- Ability to independently review work for accuracy, completeness, consistency, and compliance with firm policies and standards
- Ability to protect and maintain highly sensitive, confidential, privileged, financial, and proprietary information
