About the role

Key responsibilities & impact
  • Provide advanced legal and procedural support to attorneys on complex private equity finance, leveraged finance, acquisition finance, and other borrower-side financing transactions
  • Coordinate transaction logistics from inception through closing
  • Maintain transaction checklists and manage execution processes, closing logistics, and post-closing deliverables
  • Organize and maintain transaction documents, due diligence materials, corporate organizational records, and financing-related documentation
  • Coordinate UCC, lien, litigation, and corporate searches; review search results; and prepare and file related UCC financing statements and amendments
  • Coordinate preparation, execution, and organization of ancillary transaction documents and closing materials
  • Track transaction timelines, closing conditions, key dates, and critical deliverables
  • Review transaction materials and filings for accuracy, completeness, and consistency before attorney review
  • Coordinate with attorneys, clients, and other transaction participants
  • Provide guidance and support to junior paralegals and assist with onboarding, training, and knowledge sharing
  • Protect and maintain sensitive and confidential information

Requirements

What you’ll need
  • Bachelor’s degree or an equivalent
  • Paralegal certificate from an ABA-approved program, or a signed declaration if located in a California office
  • Minimum of four (4) years of experience as a paralegal, preferably in a law firm setting
  • Advanced proficiency with Microsoft Word, Excel, Outlook, and document management systems
  • Ability to quickly learn and apply new tools and integrate technology into workflows
  • Advanced organizational and time management skills
  • Ability to coordinate complex workflows and prioritize multiple assignments in a deadline-driven environment
  • Strong attention to detail and accuracy
  • Ability to apply quality control methods and identify and correct errors
  • Ability to protect and maintain highly sensitive, confidential, privileged, financial, and proprietary information
