About the role
Key responsibilities & impact- Manage a diverse portfolio of emerging company clients, including startups and venture-backed businesses
- Liaise with clients, investors, other stakeholders, internal teams, and third parties
- Prepare and review incorporation documents, investor agreements, and transaction/financing documents
- Assist with transactional work, including stock financings
- Maintain, research, and analyze corporate records and capitalization tables
- Maintain transaction checklists, document and deliverable trackers, closing documents, and certificates
- Review and finalize closing documents for execution
- Onboard records for new clients by organizing, reviewing, and summarizing corporate and transactional documents and capitalization tables
- Create, manage, and maintain equity platforms including Carta, Pulley, JPM, and Shareworks
- Complete work promptly and deliver accurate, top-tier work product
Requirements
What you’ll need- Bachelor’s degree or equivalent
- Signed declaration if located in a California office, or preferably a paralegal certificate from an ABA-approved program
- Minimum of six (6) years of related law firm experience as a paralegal
- ECG and Capital Markets experience
- Thorough knowledge of state corporation laws and federal and state securities laws and regulations
- Intermediate to advanced research skills involving federal, state, and local government agencies, regulatory agencies, and corporate service company websites
- Strong organizational and project management skills
- Exceptional attention to detail
- Ability to work in a fast-paced environment
- Ability to protect and maintain highly sensitive, confidential, privileged, financial, and/or proprietary information
