About the role
Key responsibilities & impact- Draft highly complex corporate documents to support the integrity and legal certainty of Motiva Group decisions
- Advise internal departments on corporate law matters through legal opinions, responses to inquiries, and participation in meetings
- Provide technical development for members of the Corporate Legal team by sharing information and knowledge and mentoring colleagues
- Prepare corporate documents for Motiva and its subsidiaries, including minutes of Board of Directors and Audit Board meetings, minutes of Shareholders’ Meetings, Officers’ Statements, Material Facts, Notices to the Market, Shareholder Notices, the Reference Form, ISE, and GRI reports
- Advise investor relations teams on the disclosure of documents on the Investor Relations and CVM websites within statutory deadlines
- Negotiate and draft Shareholders’ Agreements for business units with partners, in alignment with Corporate Law management
- Participate in meetings with internal clients, Officers, members of the Board of Directors, and ANTT and ARTESP agencies
- Participate in acquisition and corporate restructuring projects
Requirements
What you’ll need- Bachelor’s degree in Law
- Active registration with the Brazilian Bar Association (OAB)
- Specialization in Business Law, Corporate Law, or Capital Markets
- Proven experience in Corporate Law
- Practical experience with shareholders’ meetings, boards of directors, corporate actions, corporate registrations, amendments to articles of association, and medium- and high-complexity corporate workflows
- Strong knowledge of corporate legislation, including the Brazilian Corporations Law and Civil Code, CVM Instructions and Resolutions, and the B3 Novo Mercado Regulations
- Proficiency in Microsoft Office (Word, Excel, PowerPoint, and Outlook)
- Availability to work in Pinheiros, São Paulo
- Experience working at publicly traded companies
- Experience with Corporate Governance matters
- Knowledge of CVM and B3-related procedures
- Experience with M&A transactions
- Knowledge of and practical experience with legal systems, digital signatures, and generative AI
- English proficiency
- Experience handling a high volume of corporate law matters
