About the role
Key responsibilities & impact- Lead preparation and management of complex cases, including high-volume litigation and corporate transactions
- Provide strategic input during case planning, research, and pre-trial preparation
- Draft, review, and manage critical legal documents with minimal legal counsel oversight
- Oversee discovery, document production, and e-discovery management
- Train, mentor, and review junior paralegals and support staff
- Maintain direct client relationships and manage expectations
- Manage corporate governance matters for domestic and international subsidiaries
- Manage corporate entity databases and outside local counsel
- Prepare corporate minutes, resolutions, powers of attorney, regulatory filings, and related documentation
- Maintain corporate entity records and organization charts
- Support entity formation, mergers, dissolutions, M&A, and equity investments
- Coordinate with treasury, tax, finance, licensing, compliance, KYC, human resources, stock teams, local counsel, law firms, and auditors
- Assist with SEC reports, including Section 16 reports, proxy statements, Forms 10-Q, 10-K, and 8-K
- Assist with annual stockholders' meeting planning and execution
Requirements
What you’ll need- 7 years of relevant work experience
- Bachelor's degree or ABA-approved paralegal certificate required
- At least 5+ years of experience concentrated in international subsidiary management/corporate governance
- Proficient with Microsoft Office Suite: Word, Excel, PowerPoint, and OneNote
- Proficient with SharePoint
- Experience with specialized database management programs such as Diligent is a plus
- Notary license is a plus
- Experience with M&A and equity investments is a plus
- Strong attention to detail and excellent written and oral communication skills
- Ability to operate independently in a fast-paced work environment and manage numerous projects simultaneously under deadline pressure
- Flexibility and willingness to work extended hours when necessary and accommodate local-jurisdiction working hours
- Excellent interpersonal skills and ability to work with cross-functional teams, outside law firms, and auditors
- Team orientation, integrity, sound judgment, and a strong sense of humor
