About the role
Key responsibilities & impact- Assist counsel and contract administrators with internal and external review and drafting of Penn Medicine contracts and transactional matters
- Perform detailed contract review, drafting, and administration for services, equipment, consulting and staffing agreements, professional services, educational affiliations, governmental and commercial contracts, information systems, amendments, and other transactional matters
- Review and abstract contractual provisions and associated documents for entry into the Contract Tracking System
- Verify contract compliance provisions
- Train and onboard UPHS users; coordinate user access updates and maintain user/password lists
- Serve as liaison and point of contact for the Contract Tracking System and executed contracts
- Maintain and update contract database systems and files
- Input contract data, establish and organize files, and coordinate system implementation and maintenance
- Maintain tickler systems for terminations, renewals, supporting documentation, contractual deadlines, and corporate deadlines
- Identify and process contracts requiring evaluation through the contracted services evaluation system
- Assist in-house and outside counsel and contract administrators with legal matters relating to Health System contracts and corporate services
- Draft termination, renewal, extension, and amendment notices
- Prepare documentation for contract approval and execution
- Develop, schedule, and run Contract Tracking System reports
- Research contractual issues and support document production, due diligence, regulatory compliance, and transactional matters
- Assist counsel with legal and corporate research, including statutes, regulations, ordinances, corporate filings, and cases
- Attend meetings with Health System personnel
- Perform other related duties as assigned
Requirements
What you’ll need- Bachelor’s Degree and a minimum of five to seven years’ paralegal experience, or equivalent combination of education and experience
- Preferably experience in corporate and/or contracting
- Contracting database management, contract drafting, or related experience
- Experience in a law firm, hospital legal office, or corporate office setting
- Expertise and skill in use of computer systems
- Technical skills and strong database experience preferred
- Initiative and independent judgment
- Superior organization, planning, analytical, and communication skills
- Diplomatic, personable, responsive, and practical approach to internal clients and outside third parties
- Ability to work cooperatively with co-workers and respond well to competing time demands and deadlines
- Motivation and pride in work product
- Accuracy, thoroughness, and attention to detail
- Ability to deal tactfully and professionally with all levels of management
- Energetic and flexible
- Excellent interpersonal skills
