About the role
Key responsibilities & impact- Support all phases of M&A activity, including legal diligence, definitive documentation, and post-closing integration
- Liaise with outside counsel and internal stakeholders throughout the M&A lifecycle
- Help run an effective and efficient M&A process
- Support preparation of SEC filings, including periodic and current reports, proxy statements, and Section 16 filings
- Support corporate governance matters, including board and committee materials and securities law compliance and disclosure
- Support global subsidiary governance, including formations, dissolutions, foreign qualifications, restructurings, and integrations
- Support executive, equity, and incentive compensation plan matters
- Support legal negotiations for the global real estate footprint
- Build and continuously improve tools, workflows, and automation supporting the role
Requirements
What you’ll need- JD from an accredited law school
- Admitted to practice law in Massachusetts or licensed in the jurisdiction in which you live and work, with willingness to obtain Massachusetts admission
- 1-3+ years of relevant experience in the corporate department of a law firm or comparable in-house experience
- Strong organizational, project management, and multitasking skills
- Ability to manage multiple competing matters and deadlines
- Excellent communication skills
- Ability to work collaboratively and create strong relationships across the company
- M&A and/or securities law experience beneficial
- Exposure to public company governance beneficial
- Experience working with AI tools beneficial
