About the role

Key responsibilities & impact
  • Draft, review, and negotiate high volumes of commercial agreements, including SaaS subscription agreements, MSAs, order forms, DPAs, reseller/channel partner agreements, and vendor/procurement contracts
  • Negotiate customer-initiated security exhibits, AI terms, IT security policies, and audit/right-to-audit clauses
  • Advise on UK GDPR, the Data Protection Act 2018, and cross-border data transfer mechanisms such as the UK IDTA and EU SCCs
  • Partner with Sales and Deal Ops to structure and close enterprise deals involving pricing, liability caps, indemnities, service levels, and termination terms
  • Manage subcontractor and vendor flow-down obligations
  • Maintain and improve contract templates, playbooks, fallback positions, and internal negotiation guidance
  • Support GTM, Customer Success, DealOps, InfoSec, Finance, and Product stakeholders on contract interpretation, compliance questions, and dispute avoidance
  • Track and report contracting trends, redline patterns, and recurring friction to inform template and policy updates
  • Assist with procurement legal matters, including SaaS and cloud vendor agreements, software licensing, and IT services contracts
  • Collaborate on departmental process improvements and general legal projects

Requirements

What you’ll need
  • Qualified solicitor in England & Wales (or equivalent UK jurisdiction), currently in good standing with the SRA (or relevant regulator)
  • Typically 7+ years of post-qualification experience for Senior Commercial Counsel
  • Substantial in-house or law firm experience in technology/commercial transactions
  • Experience drafting and negotiating SaaS/technology commercial agreements, including MSAs, order forms, DPAs, and vendor contracts
  • Working knowledge of GDPR, UK GDPR, and international data protection frameworks in commercial contracting
  • Experience negotiating customer information security requirements, AI terms, data use rights, audit rights, and vendor risk/security exhibits in a multi-tenant SaaS environment
  • Strong commercial judgment and ability to assess and communicate risk to non-lawyer stakeholders
  • Excellent drafting, negotiation, and communication skills
  • Ability to manage a high-volume deal pipeline under time pressure
  • Experience contributing to cross-functional process improvement initiatives and legal department projects
  • Preferred: experience in a high-growth or publicly traded SaaS company, particularly with regulated or enterprise customers
  • Preferred: familiarity with export control, sanctions screening, and anti-bribery/anti-corruption considerations
  • Preferred: exposure to procurement/vendor management and subcontractor flow-down frameworks
  • Preferred: experience supporting M&A due diligence or corporate transactions from a commercial contract perspective
  • Preferred: familiarity with EU data protection law, U.S. privacy law such as CCPA, or other multi-jurisdictional privacy regimes
