About the role

Key responsibilities & impact
  • Draft, review, and negotiate commercial contracts, including vendor and customer agreements, NDAs, MSAs, SOWs, order forms, and other commercial arrangements
  • Serve as a trusted legal partner to cross-functional teams on commercial contracts
  • Manage a high volume of contracts and competing priorities, ensuring timely execution and alignment with business objectives
  • Review and negotiate commercial agreements efficiently and identify issues requiring escalation or cross-functional input
  • Develop and continuously improve contract templates, playbooks, and negotiation guidelines
  • Manage contract workflows and lifecycle processes, including intake, routing, approval, execution, and archival
  • Support the Associate General Counsel, Commercial on ad hoc legal projects and other matters as needed

Requirements

What you’ll need
  • J.D. and active membership in good standing in at least one U.S. jurisdiction
  • 3–5 years of relevant commercial or transactional legal experience in-house
  • Strong experience drafting and negotiating vendor agreements, customer agreements, NDAs, MSAs, SOWs, order forms, and other commercial contracts
  • Excellent drafting, negotiation, and communication skills
  • Ability to explain complex legal concepts clearly to business stakeholders
  • Experience with Ironclad or similar contract lifecycle management (CLM) platforms
  • Comfort with using AI workflows
  • Ability to operate in a fast-paced environment
  • Strong business judgment and ability to balance legal risk with business objectives
  • Ability to manage a high volume of contracts and competing priorities
  • Preferred: experience at a technology, AI company, or high-growth startup
  • Preferred: experience building or improving contracting workflows, templates, or vendor review processes
