About the role
Key responsibilities & impact- Assist with preparation and review of periodic reports, current reports and proxy statements, including maintenance of disclosure controls and procedures
- Support corporate governance, including maintaining the governance calendar, preparing board and committee meeting materials, and driving the annual shareholder meeting process
- Support insider trading law compliance, Section 16 reporting and 10b5-1 plan administration
- Assist with equity plan administration and compliance with US and international equity award plans
- Maintain and ensure compliance with corporate policies, including Related Party Transactions, Insider Trading and 10b5-1 trading plan policies
- Assist with public company securities law compliance, including the 1933 Act, 1934 Act, 1940 Act and Hart Scott Rodino Act
- Support cross-functional initiatives relating to investor relations, governance, financing, compliance and international expansion
- Report to the Director, Assistant General Counsel - Corporate and Securities
Requirements
What you’ll need- 4+ years of public company legal experience, ideally at a law firm and in-house
- Experience with public company reporting, including periodic reports, proxy statements, Section 16 reports and registration statements
- Experience maintaining a governance calendar for a public company board and its committees
- Ability to understand and clearly explain complicated and nuanced issues
- Highly responsive, with excellent organizational skills and attention to detail
- J.D. from an accredited law school
- Active membership in good standing in California
