About the role

Key responsibilities & impact
  • Own the day-to-day legal and compliance function end to end
  • Review, redline, and process NDAs
  • Perform first-pass review of customer agreements, order forms, vendor contracts, amendments, and renewals against approved positions and playbook using AI skills
  • Flag material deviations involving indemnification, limitation of liability, IP ownership, data rights, termination, and assignment, and route them to the CFO
  • Prepare and maintain contract templates, fallback language, and negotiation playbook
  • Maintain an accurate, complete, and searchable contract repository
  • Reply to due diligence requests
  • Own business license applications, renewals, annual reports, and state registrations across operating jurisdictions
  • Maintain the compliance calendar and manage foreign qualifications, registered agent relationships, and good-standing certificates
  • Maintain corporate records and entity documentation and prepare corporate housekeeping items for financings, audits, and diligence
  • Coordinate registrations for selling into new states or customer types
  • Manage the company's insurance program, including renewals, underwriting questionnaires, broker coordination, certificates, endorsements, waivers, coverage comparisons, claims reporting, and broker/carrier coordination
  • Own customer-required documentation including vendor forms, W-9s, supplier registrations, procurement portals, certificates of insurance, and compliance attestations
  • Support bid, RFP, and procurement submissions
  • Build and improve legal operations systems, workflows, and trackers
  • Document repeatable processes
  • Provide guidance and training to Sales, Finance, and Operations
  • Support trademark and IP housekeeping, privacy and data protection requests, and subpoena or records requests, escalating to counsel where appropriate
  • Report to the CFO

Requirements

What you’ll need
  • 5+ years of paralegal and contracts experience, ideally at a technology or SaaS company
  • Hands-on contract experience, including reviewing and redlining NDAs and commercial agreements against a playbook
  • Working knowledge of business license and entity compliance across multiple jurisdictions
  • Familiarity with commercial insurance concepts, certificates of insurance, and contractual insurance requirements
  • Exceptional organization and follow-through
  • Sound judgment about scope and when to involve counsel
  • Clear, direct communication with sales representatives, executives, customers, and attorneys
  • Comfort operating independently in a role with no template and no predecessor
  • Paralegal certificate, or a bachelor's degree with equivalent practical experience

  • Nice to have: Experience with public sector, government agency, or enterprise procurement processes
  • Nice to have: Exposure to data privacy frameworks or security questionnaire and audit support (SOC 2, GDPR, CCPA)
  • Nice to have: Notary commission or willingness to obtain one
