About the role
Key responsibilities & impact- Develop compensation total rewards strategy for each deal, including harmonization approach, retention/acceleration frameworks, equity treatment, and one-time payouts
- Lead pre-close diligence on compensation programs, including pay philosophy, survey positioning, equity plans, change-in-control clauses, deferred compensation, and retention risks
- Create decision frameworks and playbooks for base pay, incentive plans, and equity across deal types
- Maintain M&A compensation standards templates
- Own executive and leadership compensation recommendations for deal approvals and integration committees
- Present options and tradeoffs to senior HR, Finance, and Legal stakeholders
- Partner with the Integration PMO to set timelines, dependencies, and critical-path items for compensation deliverables
- Advise operational compensation teams completing conversion, payroll, and Workday systems tasks
- Mentor operational teams and help safeguard critical talent retention during transitions
Requirements
What you’ll need- Bachelor's degree in Business, HR Management, Accounting or Finance or a related field or a combination of education and equivalent related experience
- 7-10 years total rewards/compensation experience
- 2-4 years direct M&A integration or transaction experience
- Ability to lead through complex compensation integrations and transitions during mergers and acquisitions
- Proficiency collaborating with legal, tax, finance, and HR departments
- Deep understanding of compliance requirements and regulations related to compensation and equity plans in mergers and acquisitions
- Ability to identify and resolve complex compensation and employee-retention issues during organizational transitions
- Strong analytical skills to assess compensation structures and ensure competitiveness and equity
- Skilled in negotiating compensation-plan terms and conditions to secure and retain critical talent during mergers and acquisitions
- Expertise in managing change during transitions in compensation practices
- Project management and project/business-case skills
- At least 18 years of age
- Legally authorized to work in the United States
- CCP, PHR/SPHR, or Certified Merger Acquisition Advisor listed under licenses and certifications
