About the role
Key responsibilities & impact- Manage the annual governance calendar for the Corporate Secretary and Board
- Coordinate board of directors and committee meetings end-to-end, including scheduling, agenda preparation, and materials distribution
- Assist lawyers with preparing board and committee materials
- Administer the BoardVantage portal, including posting materials, reports, and communications, and troubleshoot portal issues
- Provide on-site support at board meetings
- Maintain corporate records, including minute books, director and officer listings, affiliated entities lists, governance resolutions, and consents
- Coordinate and process regulatory filings, including NAIC biographical affidavit submissions and changes in agents for service of process
- Manage vendors supporting governance functions, including renewals and support requests
- Coordinate shareholder engagement scheduling for senior leaders and investors
- Support annual shareholder meeting logistics with event planning, security, and communications teams
- Maintain the master logistics checklist and track action items to completion
- Monitor peer company shareholder meetings and shareholder questions
- Manage calendars and complex scheduling for senior leaders and the Corporate Governance team
- Arrange travel, prepare and submit expense reports, manage vendor invoices, and process director expense reimbursements
- Prepare and format PowerPoint, Word, and PDF materials
- Perform other duties as assigned
Requirements
What you’ll need- Experience with BoardVantage, Diligent Boardbooks, or a comparable board portal
- Familiarity with corporate governance functions, board meeting support, or corporate records maintenance at a public company or in a regulated industry
- Experience supporting C-suite, Corporate Secretary's office, or board of directors
- Paralegal certificate or equivalent legal assistant experience
- 3 years of experience supporting senior leadership in an administrative, executive assistant, or governance/paralegal support capacity
- Sound judgment and discretion with confidential and market-sensitive information
- Ability to prepare and format PowerPoint presentations, Word documents, and PDF materials, including graphics, charts, and clean versions generated from redlines
